Nia is designed to support your health and create continuity around the care you receive. These terms explain how the Services work, what Nia does and doesn’t do, and the rights and responsibilities we each carry.
Section 01
Welcome to Meet Nia.
Meet Nia is an AI-powered health and care continuity service provided through the Meet Nia mobile application, websites, and, where available, connected devices, health platforms, calendars, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and Conditions (the “Terms”), our Privacy Notice, and any additional terms or consents presented to you in connection with specific features.
The Services are owned and operated by Meet Nia, Inc. (“Meet Nia,” “Nia,” “we,” “us,” or “our”).
IMPORTANT: NIA IS DESIGNED TO SUPPORT YOUR HEALTH AND HELP CREATE CONTINUITY AROUND THE CARE YOU RECEIVE. NIA DOES NOT REPLACE A PHYSICIAN OR OTHER QUALIFIED HEALTHCARE PROFESSIONAL, AND NIA IS NOT AN EMERGENCY MEDICAL SERVICE.
NIA DOES NOT INDEPENDENTLY DIAGNOSE MEDICAL CONDITIONS, PRESCRIBE MEDICATIONS, OR ESTABLISH MEDICAL TREATMENT PLANS. YOUR HEALTHCARE PROFESSIONALS REMAIN RESPONSIBLE FOR CLINICAL JUDGMENT, DIAGNOSIS, TREATMENT, AND MEDICAL DECISION-MAKING.

The Services are intended for individuals located in the United States who are at least 18 years old.
Section 02
What Nia is, and what Nia isn’t.
Who Can Use Nia
To use the Services, you must create an account, provide accurate registration information, be at least 18 years old, and meet any additional eligibility requirements disclosed to you.
Your account is personal to you. You may not create an account on behalf of another person unless expressly permitted by Meet Nia.
Subject to these Terms, Meet Nia grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your personal, non-commercial use.
What Nia Does
Nia is designed to help you maintain a more connected understanding of your health across everyday life and clinical care.
Depending on the Services available to you, Nia may help you organize health information, preserve longitudinal health context, track symptoms and changes, maintain health goals, remember clinician recommendations and care instructions, support follow-through, prepare for healthcare visits, coordinate health-related tasks, and understand information you choose to provide or connect.
Nia may also help you carry clinician-established care forward between encounters and preserve relevant context for future healthcare conversations.
Nia Does Not Replace Medical Care
Nia supports your health and the care you receive. It does not replace it.
Information provided through the Services is not a substitute for professional medical advice, diagnosis, or treatment. Nia does not independently establish your medical care, prescribe medications, or determine whether a treatment is medically appropriate for you.
Always seek the advice of a qualified healthcare professional regarding medical questions, symptoms, diagnoses, medications, treatments, or changes to your care.
Do not disregard or delay professional medical care because of information provided through Nia.
Emergencies
NIA IS NOT AN EMERGENCY MEDICAL SERVICE AND SHOULD NOT BE USED TO SEEK OR RECEIVE EMERGENCY CARE.
If you believe you are experiencing a medical emergency, call 911 or seek immediate medical attention.
Section 03
Intelligence that supports care, never replaces it.
Use of AI
Nia uses artificial intelligence, machine learning, and related technologies (“AI Features”) throughout the Services.
AI Features may help organize and summarize information, maintain longitudinal context, personalize your experience, identify relevant patterns in information you provide, support health objectives, assist with care-plan follow-through, prepare information for healthcare encounters, and provide conversational or other interactive experiences.
AI Features may generate incorrect, incomplete, outdated, or inappropriate outputs.
You should not rely solely on AI-generated information when making medical, safety, or other important decisions.
Nia’s intelligence supports your care. It does not replace human clinical judgment.
Clinician-Established Care
You may provide Nia with recommendations, instructions, goals, referrals, medications, appointments, or other information established by your healthcare professionals.
Nia may help you remember, organize, understand, or follow through on that information. Nia’s assistance does not modify, replace, or override instructions provided by your healthcare professional.
If anything provided by Nia appears inconsistent with instructions from your healthcare professional, contact your healthcare professional for clarification.

Your health story stays yours.
Information You Provide
You may choose to provide Nia with information such as your health history, symptoms, medications, health goals, behaviors, routines, clinician recommendations, questions, appointments, health notes, life context, and other information relevant to your health.
You agree to provide information that is accurate and complete to the best of your knowledge.
Nia’s ability to provide personalized support depends in part on the quality and completeness of the information available to it.
Your Health Story
Your health information remains subject to the rights, choices, and protections described in our Privacy Notice.
Where Nia allows you to share information or health summaries with healthcare professionals or other third parties, you control whether to initiate that sharing except where otherwise disclosed or required by law.
Section 05
Connected health and third-party services.
Connected Health Is Optional
You may have the option to connect Nia with supported third-party devices, wearables, health platforms, calendars, applications, or other services (“Connected Services”).
You do not need a wearable or connected health device to use Nia.
Connected Services are optional and may provide additional information that helps personalize your Nia experience.
Third-Party Services
Meet Nia does not manufacture or control third-party devices or services and cannot guarantee their availability, accuracy, security, functionality, or continued compatibility with Nia.
Information provided by Connected Services may be inaccurate, delayed, incomplete, or unavailable.
Your use of third-party services is also governed by the applicable third party’s terms and privacy practices.
We may add, modify, or discontinue integrations with third-party services at any time.
Section 06
Plans, billing, and cancellation.
Nia Core
Nia may offer certain features through a free service tier, including Nia Core. Features included within free tiers may change over time.
Nia Plus
Nia Plus and other premium Services may require a paid subscription.
Pricing, billing frequency, included features, taxes, promotional terms, and other material purchase information will be disclosed to you before completing your purchase.
Automatic Renewal
Paid subscriptions may automatically renew for successive subscription periods unless you cancel before your next renewal date.
By purchasing an automatically renewing subscription, you authorize Meet Nia or its payment processor to charge your selected payment method for applicable subscription fees and taxes at each renewal.
If subscription pricing changes, we will provide notice as required by applicable law.
Cancellation
You may cancel a Meet Nia subscription through the cancellation options made available through the Services.
Unless otherwise stated at purchase or required by applicable law, cancellation takes effect at the end of your current paid subscription period.
If you purchase Nia through the Apple App Store, Google Play, or another third-party platform, that platform may manage your payment, renewal, cancellation, and refund eligibility under its own terms.
Except where required by law or otherwise disclosed at checkout, subscription fees are non-refundable and partial subscription periods are not prorated.
Section 07
Protecting and ending your account.
Protecting Your Account
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.
Notify Meet Nia promptly if you believe your account has been accessed without authorization.
Because your account may contain sensitive health information, you are also responsible for taking reasonable precautions to secure the devices and accounts you use to access Nia.
Ending Your Account
You may stop using the Services and request deletion or termination of your account at any time, subject to applicable legal, regulatory, contractual, and data-retention requirements.
Deleting your Nia account does not necessarily cancel subscriptions purchased through third-party platforms. Those subscriptions must be canceled through the applicable platform.
Meet Nia may suspend or terminate access to the Services if you violate these Terms, fail to pay applicable fees, misuse the Services, create security or safety risks, engage in unlawful activity, or where otherwise permitted by applicable law.
Section 08
Using Nia responsibly.
When using Nia, you agree to:
- provide information you have the right to provide;
- use your account only as authorized;
- comply with applicable laws and regulations;
- protect your login credentials;
- respect the privacy and rights of others; and
- use the Services responsibly.
You may not:
- access another person’s account or health information without authorization;
- impersonate another person;
- use Nia for unlawful, fraudulent, abusive, or harmful purposes;
- scrape, crawl, mine, or systematically extract information from the Services without authorization;
- circumvent or interfere with security features;
- introduce malware, viruses, or other harmful technology;
- disrupt or impose unreasonable loads on the Services;
- reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms, or underlying technology except where permitted by law;
- resell or commercially exploit the Services without written authorization; or
- assist another person in doing anything prohibited by these Terms.
Section 09
How we communicate with you.
As part of providing Nia, we may communicate with you through email, push notifications, in-app messages, text messages where authorized, or other electronic communications.
Communications may include health-related reminders you request or enable, appointments and follow-ups, account information, service announcements, security notices, subscription information, and administrative messages.
You may manage eligible communication preferences through the Services or unsubscribe mechanisms provided to you.
Certain transactional, security, account, or legally required communications may continue even if you opt out of promotional communications.
Section 10
Your privacy.
Our Privacy Notice explains how Meet Nia collects, uses, discloses, retains, and otherwise processes personal information when you use the Services.
You are responsible for safeguarding the devices, passwords, email accounts, and other credentials through which you access Nia.
If you choose to share information generated or stored within Nia with another person or organization, their handling of that information may be governed by their own privacy practices.
Section 11
Ownership and feedback.
The Services and their software, technology, AI systems, interfaces, designs, trademarks, branding, graphics, text, audio, video, features, functionality, and other content provided by Meet Nia are owned by Meet Nia, its licensors, or applicable rights holders and are protected by intellectual-property laws.
Except for the limited right to use the Services granted under these Terms, no rights in Meet Nia’s intellectual property are transferred to you.
Feedback
We welcome feedback.
If you voluntarily provide ideas, suggestions, recommendations, or other feedback regarding Nia, you grant Meet Nia the right to use that feedback to develop, improve, operate, and commercialize our products and services without compensation or obligation to you, subject to applicable law.
Section 12
Content and services we don’t control.
Nia may provide access to, reference, or interact with information, resources, products, services, websites, healthcare organizations, or other third parties.
Meet Nia does not control third-party services and does not guarantee their content, availability, accuracy, security, products, recommendations, or privacy practices.
Your interactions with third parties are governed by the terms and policies applicable to those third parties.
Section 13
Nia will keep evolving.
We are continually improving Nia.
We may add, remove, modify, enhance, suspend, or discontinue features or portions of the Services as our products evolve or as necessary for legal, regulatory, safety, security, or operational reasons.
Where required by applicable law, we will provide appropriate notice of material changes affecting your rights.
Section 14
Service provided as is.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Meet Nia does not guarantee that the Services will always be available, uninterrupted, error-free, accurate, complete, secure, or suitable for every individual or circumstance.
AI-generated outputs, third-party information, connected-device data, and other information available through the Services may contain errors or inaccuracies.
Meet Nia does not guarantee any particular medical, health, wellness, behavioral, financial, or other outcome from using the Services.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Section 15
Limits on liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEET NIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM SERVICE INTERRUPTIONS, AI-GENERATED OUTPUTS, THIRD-PARTY SERVICES, CONNECTED DEVICES, LOSS OF DATA, OR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICES.
TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, MEET NIA’S AGGREGATE LIABILITY WILL BE LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID TO MEET NIA FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
Section 16
Indemnification.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Meet Nia and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the Services, violation of these Terms, violation of applicable law, infringement of another person’s rights, or unauthorized information or content you provide through the Services.
Section 17
Governing law and dispute resolution.
Informal Resolution
If you have a concern or dispute involving Nia, we encourage you to contact us first so we can attempt to resolve it informally.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except where applicable consumer law requires otherwise.
Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes eligible for small claims court, claims involving certain intellectual-property rights, or matters that applicable law does not permit to be arbitrated, you and Meet Nia agree that disputes arising from or relating to these Terms or the Services will be resolved through final and binding individual arbitration rather than in court.
Arbitration will be administered by JAMS under its applicable consumer arbitration rules.
YOU AND MEET NIA AGREE TO BRING CLAIMS ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW.
Arbitration Opt-Out
You may opt out of this arbitration agreement by providing written notice to Meet Nia within 30 days after first accepting these Terms. Your notice must include your name, the email address associated with your Nia account, and a clear statement that you wish to opt out of arbitration.
Section 18
California users.
Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs regarding complaints about the Services.
Section 19
App store terms.
Apple App Store
If you download Nia through the Apple App Store, your use of the application is also subject to applicable Apple terms. Meet Nia, not Apple, is responsible for the Nia Services, subject to these Terms and applicable law.
Google Play
If you download Nia through Google Play, your use of the application is also subject to applicable Google Play terms. Meet Nia, not Google, is responsible for the Nia Services, subject to these Terms and applicable law.
Section 20
The rest of the details.
Changes to These Terms
We may update these Terms from time to time. When changes materially affect your rights, we will provide notice as required by applicable law.
Your continued use of Nia after updated Terms become effective constitutes acceptance of those Terms where permitted by law.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
Assignment
Meet Nia may assign its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or other business transaction, subject to applicable law.
Force Majeure
Meet Nia will not be responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, widespread network or infrastructure failures, governmental actions, war, civil unrest, epidemics, pandemics, or similar events.
Export Compliance
You may not use, export, or re-export the Services in violation of applicable U.S. export-control or sanctions laws.
Entire Agreement
These Terms, our Privacy Notice, and any additional terms expressly incorporated by reference constitute the agreement between you and Meet Nia regarding your use of the Services unless you have entered into a separate written agreement with us.
